Every business entity filing with the Ohio Secretary of State continues to require a statutory agent designation in 2026. This encompasses LLCs formed under ORC 1706.09, corporations under ORC 1701.07, limited partnerships, professional associations, and foreign entities registering to do business in the state. The Secretary of State continues to reject any filing that does not include complete agent information.
All filings remain centralized through Ohio Business Central, handling entity formation, statutory agent designations and changes, annual and biennial reports, name reservations, and entity searches.
Form 533A Status

The Original Appointment of Statutory Agent (Form 533A) continues to be filed as part of LLC and corporation formation packages. The form still requires the agent's full legal name and a physical Ohio street address. P.O. Boxes remain prohibited. The filing fee stays at $99 for LLCs, covering both entity formation and the initial agent appointment.
The consent requirement remains in effect: agents must be aware of and agree to their designation, though Ohio still does not require a separate written consent form to be filed with the Secretary of State.
Form 521 Status

The Statutory Agent Update (Form 521) remains at the $25 filing fee for 2026. The form continues to be used for replacing current agents, updating agent addresses, and recording agent resignations. Online filings through Ohio Business Central are processed within one to three business days, while mail filings take longer.
There continues to be no limit on filing frequency for Form 521. Multiple changes in rapid succession remain possible, with each requiring the $25 fee.

Ohio Business Central remains the online gateway for all business entity interactions with the Secretary of State in 2026. The portal continues to handle entity formation filings, statutory agent forms, compliance reports, and public entity searches. Account registration is still required for filing but not for public searches.
The public search function remains freely accessible, allowing anyone to look up business entity information including current statutory agent names and addresses. Entity status (active, cancelled, or dissolved), formation dates, entity types, and complete agent information continue to be displayed in search results.

Ohio still imposes no specific deadline for filing Form 521 after a statutory agent change, but prompt filing remains strongly recommended. Any gap between the actual change and the filed change creates a period where the public record does not reflect reality, potentially resulting in failed service or missed legal documents at the old agent's address.
For corporations, biennial report requirements continue to include confirmation of statutory agent information. LLCs remain exempt from periodic reporting in Ohio, keeping the statutory agent as the primary ongoing compliance obligation.

The Secretary of State continues to initiate administrative dissolution and cancellation proceedings against entities without valid statutory agents on file. Entities still receive notice of intended action, with a prescribed timeframe to correct deficiencies. Reinstatement after dissolution continues to require paying all outstanding fees and filing a new application with a current statutory agent designation.
The enforcement framework under ORC remains unchanged: agent address invalidity, agent resignation without replacement, and failure to designate an agent all remain grounds for the Secretary of State to begin dissolution proceedings.
