Core Requirement Status
Updated January 15, 2026
Ohio continues to require every LLC formed under ORC 1706.09 to maintain a statutory agent — a requirement that remains unchanged heading into 2026. The agent must have a physical street address in Ohio and be available during normal business hours to accept service of process and official state correspondence. The Ohio Secretary of State processes all related filings through Ohio Business Central.
The term "statutory agent" remains Ohio's official designation. While most states use "registered agent," Ohio and Arizona continue to use "statutory agent." The legal function is identical: accepting lawsuits, subpoenas, court orders, and correspondence from the Secretary of State and the Ohio Department of Taxation.
2026 Fee Schedule
Confirmed for 2026 filing year
Ohio's filing fees for statutory agent matters remain stable entering 2026. The LLC formation fee, which includes the initial agent appointment via Form 533A, holds at $99. The Statutory Agent Update (Form 521) remains at $25 per filing. Ohio continues to exempt LLCs from annual report requirements, keeping ongoing compliance costs minimal for LLC owners.
Professional statutory agent services in Ohio continue to price between $49 and $199 per year. Combined with the absence of annual report fees for LLCs, Ohio remains one of the most affordable states for ongoing LLC maintenance in 2026.
Form Updates
Updated March 2026
The Ohio Secretary of State continues to use two primary forms for statutory agent matters. Form 533A (Original Appointment of Statutory Agent) is filed as part of LLC formation and included in the $99 formation fee. Form 521 (Statutory Agent Update) is used for all subsequent agent changes at $25 per filing.
Both forms remain available through Ohio Business Central for online submission. Online filings are processed within one to three business days. Mail filings continue to experience longer processing times. The Secretary of State has not announced any planned changes to these forms for 2026.
Dissolution Rules
Updated February 2026
Ohio's administrative dissolution procedures for statutory agent non-compliance remain in effect. If an LLC fails to maintain a valid statutory agent — whether due to resignation, relocation, or unreachability at the registered address — the Secretary of State can initiate dissolution proceedings. Compliance notices are sent to both the LLC's last known address and the statutory agent's address before dissolution is finalized.
Reinstatement after dissolution continues to require filing a new application, appointing a new statutory agent via Form 533A, and paying all outstanding fees. The consequences of dissolution remain severe: loss of business authority, voided contracts, and elimination of personal liability protection for LLC members.
Agent Options Review
Updated August 2026
Ohio LLC owners continue to have three primary options for statutory agent representation in 2026. Self-appointment remains available for Ohio residents with a physical street address, though the privacy trade-offs persist — your home address becomes searchable through Ohio Business Central. Appointing a trusted individual remains viable but dependent on that person's continued availability and willingness.
Professional services remain the most comprehensive option, providing commercial addresses, continuous business-hours availability, same-day document scanning, and compliance monitoring. The $25 fee for Form 521 continues to make switching between options easy and economical.
